GENERAL TERMS AND CONDITIONS OF SALE

1) Subject

Sales contracts for products, concluded remotely via telematic network on the website "www.michelelopriore.it" are governed exclusively by these general contract conditions.

2) Parties

These general contract conditions exclusively govern sales contracts concluded by consumers, understood as natural persons acting for purposes unrelated to any entrepreneurial or professional activity carried out, and Michele Lopriore, with registered office at Viale Coni Zugna 58 20144 Milan (MI), and operational office at Via Leonardo Da Vinci 249, Trezzano sul Naviglio 20090 Milan (MI), VAT number 07877240155. Purchase orders placed by those not residing or domiciled in one of the authorized states or by those under eighteen years of age are considered null and void.

3) Conclusion of the contract and acceptance of the general contract conditions

Sales contracts for Michele Lopriore products on the website www.michelelopriore.it are considered concluded at the moment Michele Lopriore receives the purchase order placed by the consumer. Michele Lopriore will promptly send the consumer a receipt of the purchase order. By electronically sending their purchase order, the consumer declares to have read and accepted these general contract conditions and agrees to observe and comply with them in their dealings with Michele Lopriore.

4) Consumer obligations

The consumer is required, before submitting their purchase order, to carefully read these general contract conditions. Sending the purchase order implies full knowledge and acceptance of them. Finally, once the online purchase procedure is completed, the consumer is required to print and keep these general contract conditions, which were already viewed and accepted during the contract conclusion phase.

5) Purchase methods

The consumer purchases the product, whose characteristics are illustrated online in the related descriptive and technical sheets, at the price indicated there plus the delivery costs specified on the site. Before submitting the purchase order, the unit cost of each selected product, the total cost in case of multiple products, and the related delivery costs are summarized. Once the purchase order is submitted, the consumer will receive from Michele Lopriore an email confirming receipt of the purchase order and containing information about the main characteristics of the purchased good, detailed indication of the price, delivery costs, applicable taxes, payment methods, and a reference to the general contract conditions and information about the right of withdrawal, its conditions, and exercise methods displayed on the site. "Following the approval of Decree Law 4 July 2006 no. 223" manovra bis "Art. 37 paragraphs 8 and 9, converted with Law 248 of 4 August 2006, effective from 12 August 2006, the obligation to create the list of customers and suppliers is reinstated," which therefore entails the essential need to require customers requesting an invoice (instead of a simple receipt) to enter VAT number and TAX CODE in the appropriate fields on the site.

6) Gift Card

Gift cards purchased online are valid only and exclusively on the website www.michelelopriore.it and are delivered via email. It is not possible to purchase them using promotional codes or other promotional initiatives. The validity is 1 year from the date of purchase. They cannot be returned, exchanged for cash, or used in physical stores. For any information, please contact office@michelelopriore.it

7) Payment

The consumer can make the payment due by choosing one of the following listed methods.

a) Payment by Credit Card/Paypal

Payment for purchases by credit card is made through:

- Paypal circuit and can be made exclusively with the following credit cards: VISA, MASTERCARD, and only by the cardholder. Poste Pay cards are enabled for payment as they belong to the Visa circuit.

The verification of the correctness of the payment data provided by the consumer is the sole responsibility of the credit card issuing institutions.

PAYPAL guarantees the security of transactions and transmitted data through the use of protected and guaranteed systems such as Secure Socket Layer and a communication system between bank and store via Secure Channel.

b) Payment by bank transfer

Payment by bank transfer can be made using the following details: - Banca POPOLARE DI MILANO - IBAN: IT13Z0503401695000000048573 in the name of MICHELE LOPRIORE. If payment is made by bank transfer, the purchased goods will be shipped to the address indicated by the consumer upon receipt of the bank receipt, generally five days after the transfer is made. After making the bank transfer, to speed up processing times you can send the SEPA identification number (CRO) along with your order number by email to office@michelelopriore.it.

8) Delivery of products

The purchased goods, together with the related receipt/invoice, are delivered at the consumer's choice in one of the following ways. a) Home delivery Deliveries will be made within the national and European territory. If the consumer chooses this delivery method, the goods are delivered by courier to the address indicated by the consumer. Any specific needs must be communicated to Michele Lopriore by the consumer. Delivery of the goods is guaranteed within a minimum of 24/72 hours within the national territory and a maximum of 7 working days for European destinations, unless the consumer has chosen payment by bank transfer pursuant to art. 6, letter b) of this contract. If the consumer chooses courier delivery, payment can be made in advance by bank transfer or credit card according to the instructions contained in art. 6, letter b) of this contract, and Michele Lopriore is obliged to send the goods upon receiving confirmation of the transaction. In case of failed delivery due to the recipient's absence at the address indicated in the order, the courier will leave a notice and attempt a second delivery; if the recipient is still absent, the goods will be returned to the sender (Michele Lopriore).

9) Warranty of conformity and defective products

Products purchased on the website "www.michelelopriore.it" are subject to the rules on the sale of consumer goods contained in articles 1519 bis – 1519 nonies of the civil code. Delivered products conform to the characteristics illustrated online in the related descriptive and technical sheets. Michele Lopriore is responsible towards the consumer for conformity defects existing at the time of delivery of the goods. If the delivered goods present a conformity defect, the consumer has the right to restore the conformity of the goods. Without prejudice to the applicability of the remaining provisions contained in articles 1519 ter and following of the civil code, this right is recognized to the consumer provided that the delivered goods have been used correctly, respecting

their intended use and the instructions for use possibly attached to the purchased product. In particular, this warranty does not apply to goods with conformity defects that the consumer knew at the time of contract conclusion or could not ignore with ordinary diligence. a) Terms The consumer must report the conformity defect to Michele Lopriore within 10 days from the date they discovered the defect. The consumer loses the above rights if they do not report the conformity defect within the indicated term.

10) Right of withdrawal

The consumer has the right to exercise the right of withdrawal. In particular, the consumer has the right to withdraw from any contract concluded with Michele Lopriore, without any penalty and without specifying the reason. The user can exercise this right within fourteen (14) working days following the date of delivery of the product in accordance with the provisions of articles 64 and following of Legislative Decree 206/2005 (hereinafter Consumer Code).

The right of withdrawal is recognized to the consumer in relation to any goods purchased on the website "www.michelelopriore.it" except, for example, products that require activation/start-up performed by the consumer after delivery:

a) Methods for exercising the right of withdrawal The right of withdrawal is exercised by sending, within the above term, a written communication to the email office@michelelopriore.it explaining the reasons for the return and the order reference. The withdrawal communication can be sent within the same term. In case of exercising the right of withdrawal, the communication must be sent to office@michelelopriore.it. If the goods have been delivered, the consumer must return them to Michele Lopriore within ten working days from the date of delivery. The goods must be returned to Michele Lopriore complete with all accessories, instruction manuals, and everything originally delivered to the consumer, as well as packaged in their original packaging. A copy of the electronic order receipt and the original fiscal receipt, if any, must be attached to the returned product. Return shipping costs to Michele Lopriore are borne by the consumer. If the right of withdrawal is exercised by the consumer in accordance with the provisions of this clause, Michele Lopriore is obliged to refund the amounts paid by the consumer. In particular, Michele Lopriore will proceed free of charge with the transmission of the refund order relating to the cost of the shipped goods including shipping costs within thirty days from the date it became aware of the exercise of the right of withdrawal by the consumer. This operation will be carried out through the credit institution issuing the credit card used for payment or by crediting the amount to the bank account indicated by the consumer only after approval of the return. The consumer may request a different refund method by sending a request to office@michelelopriore.it

Michele Lopriore has the right to reject any product returned in ways other than those specified above, as well as products for which the consumer has not fully paid the return shipping costs or has not respected the methods and times indicated for the communication of the exercise of the right of withdrawal.

11) Express termination clause

In case of total or partial non-payment of the purchase price of the goods, Michele Lopriore reserves the right to declare this contract terminated pursuant to and for the effects of art. 1456 of the civil code by sending a written communication to the consumer's email address.

12) Applicable law and jurisdiction

This contract is governed by Italian law. Any dispute relating to the conclusion, interpretation, execution, or termination of this contract shall be subject to the exclusive jurisdiction of the judge of the place of residence or domicile of the consumer, if located within the territory of the State.

13) Reference

For anything not expressly provided for in this contract, the provisions of the current Italian law shall apply.
